By accessing or using ARCNAT, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ARCNAT ("we," "us," or "our") governing your access to and use of the ARCNAT retirement plan administration platform and related services (the "Service").

By registering for an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

We may update these Terms from time to time. Material changes will be communicated to you via email or through a notice in the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Service Description

ARCNAT is an AI-native, agent-orchestrated, compliance-first operating system for retirement plan administration. Our Service includes:

Plan Administration

Comprehensive retirement plan administration, including participant management, contribution processing, and distribution handling.

Compliance Testing

Automated compliance testing and monitoring to ensure plans meet ERISA, IRS, and DOL regulatory requirements.

Document Management

Document generation, management, and storage for plan documents, amendments, and regulatory filings.

Workflow Automation

AI-powered workflow automation and intelligent agents to streamline plan administration processes.

Service Availability

We strive to provide reliable service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

3. User Accounts

Account Registration

To use the Service, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree not to share your account with others or allow unauthorized access. We are not liable for any loss or damage arising from unauthorized use of your account.

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk. You may terminate your account at any time through your account settings or by contacting us.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

5. Intellectual Property Rights

Our Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content, is owned by ARCNAT and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

ARCNAT, the ARCNAT logo, and related marks are trademarks of ARCNAT. You may not use our trademarks without prior written consent.

Your Content and Data

You retain ownership of all data, content, and information you upload or provide to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to:

  • Store, process, and display Your Data to provide the Service
  • Use Your Data to improve our Service and develop new features
  • Generate aggregated, anonymized analytics that do not identify you

You are responsible for ensuring you have the right to provide Your Data and that it does not violate any third-party rights.

6. Payment Terms

Subscription Fees

Access to the Service may require payment of subscription fees as specified in your service agreement or pricing plan. Fees are billed in advance on a monthly or annual basis, as applicable.

All fees are non-refundable except as required by law or as explicitly stated in your agreement. We reserve the right to change our pricing with 30 days' notice.

Payment Processing

Payments are processed through secure third-party payment processors. You agree to provide accurate payment information and authorize us to charge your payment method for all fees owed.

Overdue Payments

If payment is overdue, we may suspend or terminate your access to the Service. You remain responsible for all fees incurred before termination.

7. Limitation of Liability

Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.

Limitation of Damages

To the maximum extent permitted by law, ARCNAT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Compliance Responsibility

While ARCNAT provides tools and features to assist with compliance, you remain solely responsible for ensuring your retirement plans comply with all applicable laws, regulations, and requirements. We do not provide legal, tax, or financial advice.

8. Termination

Termination by You

You may terminate your account at any time by contacting us or using the account termination feature in your settings. Upon termination, your access to the Service will be immediately suspended.

Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay required fees. We may also terminate accounts that have been inactive for an extended period.

Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may delete your account and data in accordance with our data retention policies and legal obligations. You may request data export before termination.

9. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which ARCNAT is incorporated, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

10. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ARCNAT regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
